TruckSmarter Acquired, Dispatch App Shuts Down Friday
TruckSmarter announced its acquisition and the immediate shutdown of its Dispatch app, affecting over 500,000 carriers.

TruckSmarter announced on Tuesday that it has been acquired and that its AI-powered driver app, Dispatch, will shut down on Friday, September 4. More than 500,000 carriers have used the TruckSmarter platform, which included a free load board alongside the paid Dispatch product.
Co-founder and CEO Dan Kao posted a message inside the app thanking users for five years of trust. Automated replies from the company stated that active Dispatch subscriptions will be canceled on Friday, and invoices paid within the previous 30 days will be refunded within seven business days of cancellation.
The Deal Points to an Acquihire
Every observable detail of this transaction points toward an acquihire, where the buyer's primary goal is to hire the engineering team, not to continue the business. The acquiring company has not been named, and no purchase price has been disclosed. OTR Solutions, which bought TruckSmarter's factoring and banking division in November 2025, told FreightWaves it did not acquire the remaining business.
The product shutdown is immediate, with no migration path or sunset period offered to users. A company that buys a working load board and dispatch tool used by 500,000 carriers typically keeps it running as a valuable distribution channel. Dispatch is being switched off inside a week. Subscriptions are simply being canceled and refunded. A buyer who wanted those carriers would not be paying money back to walk them out the door.
The Remaining Asset: An AI Engineering Team
After selling its factoring division last November, TruckSmarter spent the following year concentrating on AI tools for drivers, funded by a $16 million equity raise in September 2025. Strip out the product and the customers, and what remains is a San Francisco engineering team with a year of applied AI work in freight behind it. That is the single most sought-after asset class in technology right now.
An acquihire is the explanation that requires the fewest additional assumptions. The alternatives all require you to believe a buyer paid for something it then immediately destroyed. The public record does not confirm it, however. Neither TruckSmarter nor FreightWaves has used the word 'acquihire,' and this remains inference drawn from the shape of the deal.
A Rapid Timeline from Funding to Shutdown
The company's journey from its latest funding round to shutdown was swift. TruckSmarter raised $16 million in September 2025, led by Socium Ventures. The stated purpose was research, development, and talent. Two months later, in November 2025, it sold its factoring and banking division to OTR Solutions.

Kao told FreightWaves at the time of the September 2025 raise that the company had asked itself during annual planning whether load boards would still exist in five years, and had not been able to answer yes with confidence. For carriers who used the platform, the company's automated systems are handling refunds for recent subscriptions.
